OFFICIAL RULES AND REGULATIONS 1. TO ENTER the Dopetracks and Propellerhead Software Beat Battle contest (the "Contest") simply visit the web site located at www.dopetracks.com, login and visit http://www.dopetracks.com/contests/BeatBattle and submit your entry by uploading an original beat that uses at least one sample from the sample files provided in wav format and in a zip file. Individuals without a login can register for free membership by following the instructions found at http://www.dopetracks.com/account/signup and then proceed to submit their entry using an online form. Entries received on-line shall be deemed to be submitted by the "Authorized Account Holder" of the email address submitted at the time of entry. To qualify, members must have a confirmed email address. Any un-verified email account users will be disqualified from the contest. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an internet access provider, on-line service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Illegible entries are ineligible. Contest starts at 12 a.m. Eastern Time ("ET") on Thursday, October 1st, 2009 and closes on Saturday, October 31st, 2009 at 11:59:59 p.m. Eastern Time ("ET") (the "Contest Period"). There are four (4) grand prizes (the "Grand Prize") and eight (8) secondary prizes (each, a "Secondary Prize") (collectively, the "Prizes" and each, a "Prize") to be won from among all the eligible entries received during the Contest Period. Limit one Secondary Prize per household. The Grand Prize winner will be selected from among all Secondary Prize winners based on factors described below including but not solely the total number of dope points awarded. No purchase necessary. Void where prohibited. 2. The contest sponsors are Propellerhead Software and Dopetracks, LLC. (Dopetracks.com) (hereinafter referred to as the "Contest Sponsors"). 3. To enter and to be eligible to win, entrant must be sixteen (16) years of age or older. Employees and their parents, siblings and children, and persons domiciled with an employee of any of the Contest Sponsor, its agents, parent, affiliated or related companies, subsidiaries, divisions, prize sponsors, and promotional and advertising agencies and administrators, are ineligible to enter. 4. Grand Prize - There are eight (8) Grand Prizes consisting of Propellerhead Reason Software or Record Software, DopeTracks Shwag presented to the beat producer. In the event that the producer already owns Reason, this software will be substituted with Record software. 5. Secondary Prize - There are eight (8) Secondary Prizes each consisting of official Dopetracks T-shirts. T-shirts can not be substituted for retail value. They will be sent via post to the winner's address which will be ascertained after the winners have been chosen by email. 6. Prizes must be accepted as awarded. Sponsors will make all reasonable efforts to contact winners and award prize, but may award prize to another member if winner does not provide correct information or cannot be contacted within two weeks of being awarded. The Prizes may not be sold, transferred and are not convertible to cash. Contest Sponsor reserves the right to substitute the Prizes in whole or in part in the event that all or any component of the Prizes are unavailable. Prize winner is solely responsible for all costs not expressly described herein. 7. Each week for the month of October, an impartial panel of judges (the "Judges") will review all eligible entries and review the finalists based on total number of Dope Points awarded by dopetracks users. The Judges may opt to award two winners each week, one based on which beat has the most dope points and one based on their own discretion. The Judges reserve the right to disqualify a track from winning if it is suspected that votes were rigged or gamed. If an emcee has multiple entries, the one with the most dope points will be considered amongst the finalists. Judges will make their decision based on skill, creativity and execution. The decision is at the Judges sole discretion. 8. By entering this Contest the entrants and participants automatically agree to accept and abide by these Rules. All decisions of the Contest Sponsor with respect to any aspect of this Contest, including without limitation the eligibility of entries, are final and binding on all entrants in all matters as they relate to this Contest. Entries that are not original compositions by the entrant, illegal, defamatory, obscene, or entries that discriminate based on grounds set out in Human Rights codes or other applicable legislation will not be eligible. 9. As the per the terms of use, which all producers and emcees must agree to prior to entering the contest, any beats, lyrics/raps, and/or recordings ("User Supplied Content") uploaded onto the website for the contest, or for any other purpose, will be the subject of a non-exclusive, royalty-free, worldwide, perpetual, transferable, assignable, and sublicenseable license to reproduce, copy, publicly display, publicly perform, make derivative works, distribute, transmit, and otherwise use the User Supplied Content in all contexts, formats and media, now in use and/or those mediums now not known or invented but put in use in the future. 10. Dopetracks, LLC, in its sole discretion, reserves the right to disqualify an entrant at any time that Dopetracks, LLC, becomes aware of any occurrence which would materially affect its security or fairness, including but not limited to technical malfunction of the Web site, software and/or hardware, transmission failures, and "virus" contamination. 11. Contest Sponsor assumes no responsibility for garbled, lost, late, delayed, destroyed or misdirected mail, voice messages, e-mail or any computer errors or malfunctions. No correspondence will be entered into except with entrants requesting Rules by mail or requesting names of prize winners (for which a self-addressed, postage paid envelope must be included). Contest Sponsor does not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, seeding or printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, software or any combination thereof. Entry materials-data that have been tampered with or altered are void. If for any reason, in the opinion of the Contest Sponsor, in its sole discretion, the Contest is not capable of running as originally planned, or if the administration, security, fairness, integrity or the proper conduct of the Contest is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond its control, Contest Sponsor reserves its right to cancel, terminate, modify, amend, extend or suspend the Contest including canceling any method of entry, and select a winner from previously received eligible entries. Contest Sponsor reserves its right to modify the Rules without materially affecting the terms and conditions hereof. The Contest Sponsor reserves its right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Rules or otherwise in a disruptive manner. Contest Sponsor in its sole discretion, further reserves its right to terminate the on-line portion, as applicable, of the Contest and conduct the judging from all on-line entries and all other entries (as applicable) previously received during the Contest Period. Any attempts to deliberately damage the Contest web site or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws and should such an attempt be made the Contest Sponsor reserves its right to seek remedies and damages to the fullest extent of the law. Contest Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the Contest including any damage to an entrant's computer equipment, system, software or any combination thereof, as a result of their participation in this Contest or from downloading any material from the Contest web site, where applicable. 12. Contest is subject to all applicable federal, provincial and municipal laws and regulations. Personal information collected from entrants will be used by Contest Sponsor for the purpose of administering this Contest and, if consent is given at the time of entry, to provide the entrants with marketing information relating to new and existing products and upcoming promotions of Dopetracks, LLC (Dopetracks.com) by mail or e-mail. Entrants are able to opt out with respect to receiving such marketing information online. Dopetracks, LLC (Dopetracks.com) will not sell, share or otherwise disclose personal information of entrants with third parties, other than to third parties engaged by them to fulfill the above purposes or as permitted or required by law. By entering the Contest, entrants consent to the manner of collection, use and disclosure of personal information as set out in Dopetracks, LLC (Dopetracks.com)'s Privacy policy at Dopetracks.com. Subject to this Agreement, You expressly and irrevocably agree that the state and federal courts located in Los Angeles, California have exclusive jurisdiction over any claim or dispute with Dopetracks or Dopetracks Affiliates arising under this Agreement or relating in any way to Your Account or Your use of the Services and/or Materials.
